Habe dem CEO von Maclear ein paar Fragen gestellt nachdem ich ihn auf der Konferenz getroffen hatte.

Can you please describe your background and that of the key team members?

Initially, going back in 2019 "pandemic" year, I proposed to my partner Aleksandr an Idea of a CrowdLending Platform, reliable and trustfull, well regulated and flexible at the same time. Having a multi-year experience in business consulting, capital investment and business loans management, banking sector and various in-house senior management roles in multi-national companies, i clearly noticed how complicated and conservative traditional banking financing has become. How difficult it was for SMEs to arrange financing solutions for their further development and growth. I shared with Aleksandr the idea of a transparent and sophisticated Swiss Crowdlending Platform which will be capable to connect Swiss investors with the wide range of EU based businesses/potential borrowers looking for additional financing. At the same time the idea was to brake barriers associated to the traditional bank’s financing and propose an alternative to the SMEs looking for additional opportunities for their growth and development. Maclear AG as a reliable and conservative “gateway” would allow investors to diversify their investment portfolio by investing in perspective and real SME companies from Estonia, other Baltic States and Scandinavia, other EU countries and Swiss companies as well. Aleksandr Nikitin also contributed a lot in Company development effectively applying his practical knowledge, skills and previous working experience in various foreign trade and industrial projects. He knows perfectly how the business is organised internally, how it can be appraised and assessed in respect of the potential risks and potential sustainability. We both want to build confidence an long lasting trust for all our customers on both sides, investors and borrowers.

As Maclear is a Swiss company, why did you launch with Estonian projects rather than Swiss ones?

Maclear AG is registered and regulated in Switzerland. Switzerland is known for its strong and stable financial system, and it offers several advantages for crowdlending platforms regulated by a Self-Regulatory Organization (SRO) as a financial intermediary of the non-banking sector. Here are some of the advantages of Swiss jurisdiction for crowdlending platforms:

Regulatory Framework: Switzerland has a well-established and reliable regulatory framework for financial intermediaries. Crowdlending platforms regulated by SROs are subject to specific rules and regulations, ensuring investor protection and transparency in their operations. Maclear AG successfully passed the examination and external audit ensuring it’s ability to serve as CH based financial intermediary of non-banking sector.

Reputation and Trust: Switzerland has a longstanding reputation as a global financial hub known for its reliability, stability, and adherence to high regulatory standards. Operating within Swiss jurisdiction can enhance the credibility and trustworthiness of a crowdlending platform, thereby attracting investors and borrowers.

Investor Protection: Swiss regulations prioritize investor protection, requiring crowdlending platforms to implement measures to safeguard the interests of investors. This includes disclosure requirements, due diligence processes, and risk management practices aimed at minimizing potential risks.

Access to Capital: Switzerland has a well-developed and sophisticated financial market, providing access to a diverse range of investors, including high-net-worth individuals, institutional investors, and family offices. Crowdlending platforms operating in Switzerland can tap into this investor base to attract capital for lending purposes.

What also sets Maclear AG apart is its focus on real sector businesses such as production/fabrication, retail sector, and various demanded services, which demonstrate sustainable performance and capable of generating stable revenues. The company places great emphasis on conducting thorough risk assessments and project scoring before presenting them to potential investors on the platform. And it is absolutely obvious that we are able to asses and verify properly potential projects from our home country, utilising our personal business connection. Later we plan to spread our practical expirience on other neghboring EU countries and off course we plan to onboard potential Borrowing Projects from Switzerland. At the moment we select only perfomance proven projects what we can easily controll and double check in Estonia, their reporting and financial data, physical production facilities and the Team. This is the only way, for our opinion, how we can guarantee the confidence and trust to our crowdinvestors.

Is there a secondary market?

Not at the moment, since we have just a few Projects in the initial stage of fundraising compain. Later, I assume by the end of 2023 year we definetely plan to implement this function as well.

According to the companies' register Maclear was founded in 2010. What did the company do before becoming a p2p lending platform?

In 2020 we bough the Maclear AG company from the previous owners. The company was dealing with developing coomplex GRC software solutiong. We reprofiled the company and started to develop our own concept. Our Platform represents a quite complex and unique software/IT Products specifically designed and created for this purpose with buid in risks assessment instruments and scoring model. Platform is fully automated an capable to be adopted and modified according to additional needs and tasks.

Will you provide audited accounts?

For sure! You can find in the attachement the fresh Grant Thornton AML Audit report, also we are obliged to have ordinary yearly financial audit to be perfomed by BlueAUDIT GmbH (they are mentioned in Maclear AG printout from the CH commercial register). The AML/AMLA audit should be also performed regularly only by accepted and sertified auditors (from PolyReg list: https://www.polyreg.ch/en/membership/list-of-auditors) Our contractual AMLA auditor is GwG Audit und Compliance GmbH. But at any time PolyReg can assign external Audit as well, like they did in April 2023 assigning Grant Thornton to do the job.

Wieso sprechen die als Schweizer kein deutsch?

Weil es keine originären Schweizer sind (zumindest der CEO und CFO), sondern sie nur die Firma in der Schweiz gegründet haben. Siehe die 'Über uns' Seite.
Die Website gibt es aber auf Deutsch, falls Du das meintest.

Maclear is indeed a Swiss company and falls under Swiss regulation (which is not EU! but the general reputation of Swiss and finances is well known). However my biggest concern for me personally to invest with this platform is the nationality of the team behind it. And while this is not based on any proven facts, the LinkedIn profiles of the team are quite empty or compact. And some have their earlier education in Moscow and St Petersburg after which they have studied or worked internationally. Reading between the lines some of the team very likely have a Russian citizenship. That alone does not mean any malicious intend.

However just purely looking at risk factors, IF (and yes that might never happen) money and the team disappear to Russia, in the current political climate there is no chance of any successful legal recoveries as most of the Western World is marked as "unfriendly countries" by the Russian state. That in itself is a risk that personally bothers me too much.

How do others see this possible risk factor?

Based on the above, actually there are no people with a Russian citizenship in the team (unless the Swiss chamber does not record double nationalities). So my personal risk mentioned above actually does not seem to apply.

Da ich google für so etwas keinesfalls nehmen werde, ist das ein No-Go für mich. Damit ist Maclear für mich raus.

Warum bekommt eigentlich so eine kleine, dubiose, neue Kltische ein eigenes Unterforum?
Lendermarket z.B. wird in einem inzwischen 100 Seiten langen Thread unter sonstiges disktutiert?
